Terms of Service for POSUniversal

1. Acceptance of Terms
By downloading, installing, or using POSUniversal ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you ("you," "your," or "Merchant") and WOO Systems ("we," "us," or "our").
2. Description of Service
POSUniversal is a mobile point-of-sale application that enables merchants to: - Accept contactless payments using Tap to Pay on iPhone - Process credit and debit card transactions via Stripe - Track sales and transaction history - Generate customer receipts - Manage business settings and tax configuration
3. Eligibility
To use POSUniversal, you must: - Be at least 18 years of age - Have the legal capacity to enter into binding contracts - Operate a legitimate business - Comply with all applicable laws and regulations - Have an iPhone XS or newer with iOS 17.0+ - Be located in a region where Tap to Pay on iPhone is supported
4. Account Registration
4.1 Stripe Account Requirement
To accept payments, you must: - Create and maintain a Stripe Connect account - Provide accurate business information - Complete Stripe's identity verification process - Agree to Stripe's Terms of Service and Connected Account Agreement4.2 Account Accuracy
You agree to: - Provide accurate, current, and complete information - Update information promptly when it changes - Maintain the security of your account credentials - Notify us immediately of unauthorized access4.3 Account Responsibility
You are responsible for: - All activities under your account - Maintaining device security - Keeping your email and contact information current5. Payment Processing
5.1 Stripe Integration
All payment processing is handled by Stripe, Inc. By using POSUniversal: - You agree to Stripe's Services Agreement - You authorize us to share your information with Stripe - You acknowledge Stripe's role as the payment processor5.2 Transaction Fees
You will be charged: - Stripe Processing Fees: As disclosed by Stripe (typically 2.7% + $0.00 for credit cards, $0.15 for Interac) - POSUniversal Platform Fee: 0.5% - 1.0% of transaction valueFees are clearly disclosed during onboarding and may be updated with notice.
5.3 Refunds and Chargebacks
- Refunds must be processed through your Stripe Dashboard - You are responsible for handling customer disputes - Chargeback fees may apply as determined by Stripe - We are not liable for disputed transactions5.4 Settlement
- Funds are settled to your bank account by Stripe - Settlement timing is determined by Stripe (typically 2-7 business days) - We do not hold merchant funds6. Acceptable Use
6.1 Permitted Use
You may use POSUniversal only for: - Legitimate business transactions - Selling legal goods and services - Accepting payments from willing customers6.2 Prohibited Activities
You may NOT use POSUniversal for: - Illegal activities or prohibited goods/services - Fraudulent transactions - Money laundering - Processing payments without customer authorization - Sales of age-restricted products without verification - Adult content, gambling, or controlled substances - Violating Stripe's Restricted Business list - Circumventing payment processing fees6.3 Compliance
You must: - Comply with all payment card network rules - Follow applicable consumer protection laws - Maintain required business licenses - Collect and remit applicable taxes - Provide accurate receipts to customers7. Tax Responsibility
7.1 Tax Collection
- You are responsible for configuring correct tax rates - POSUniversal provides tools to calculate GST and PST - You must ensure tax settings comply with local regulations7.2 Tax Reporting
- You are solely responsible for tax reporting and remittance - Transaction data is provided for your records - Consult a tax professional for compliance guidance8. Intellectual Property
8.1 Our Rights
POSUniversal and all related materials are owned by WOO Systems: - App design, code, and functionality - Trademarks, logos, and branding - Documentation and user interfaces8.2 Your Rights
You retain ownership of: - Your business information - Transaction data you generate - Customer information you collect8.3 License Grant
We grant you a limited, non-exclusive, non-transferable license to use POSUniversal for your business purposes. This license terminates when you stop using the App.9. Data and Privacy
9.1 Data Collection
We collect and process data as described in our Privacy Policy. By using POSUniversal, you consent to such collection and processing.9.2 Payment Data
- We do NOT store payment card data - All card information is processed by Stripe - PCI DSS compliance is maintained by Stripe9.3 Customer Data
You are responsible for: - Obtaining customer consent for data collection - Complying with privacy laws (PIPEDA, CCPA, GDPR) - Handling customer data requests10. Service Availability
10.1 Uptime
We strive to provide reliable service but do not guarantee: - Uninterrupted access - Error-free operation - Compatibility with all devices10.2 Maintenance
We may: - Perform scheduled maintenance - Update the App with new features - Modify or discontinue features with notice10.3 Third-Party Dependencies
Service availability depends on: - Stripe's payment processing infrastructure - Apple's NFC and Tap to Pay services - Internet connectivity - Device functionality11. Limitation of Liability
11.1 Disclaimer
POSUniversal is provided "AS IS" without warranties of any kind, express or implied, including: - Merchantability - Fitness for a particular purpose - Non-infringement - Accuracy or reliability11.2 Liability Cap
To the maximum extent permitted by law, WOO Systems' total liability shall not exceed the fees you paid in the 12 months preceding the claim.11.3 Excluded Damages
We are NOT liable for: - Lost profits or revenue - Data loss - Business interruption - Indirect, incidental, or consequential damages - Failed transactions due to third-party issues11.4 Stripe Liability
We are not responsible for: - Stripe's actions or failures - Payment processing errors - Account holds or terminations by Stripe - Stripe fee changes12. Indemnification
You agree to indemnify and hold harmless WOO Systems from claims arising from: - Your use of POSUniversal - Your violation of these Terms - Your violation of laws or regulations - Customer disputes about your products/services - Your processing of fraudulent transactions
13. Term and Termination
13.1 Term
These Terms remain in effect while you use POSUniversal.13.2 Termination by You
You may stop using the App at any time by: - Deleting the App from your device - Disconnecting your Stripe account13.3 Termination by Us
We may suspend or terminate your access if: - You violate these Terms - Your Stripe account is terminated - We detect fraudulent activity - Required by law - We discontinue the service13.4 Effect of Termination
Upon termination: - Your license to use POSUniversal ends - We may delete your account data - Outstanding payment obligations survive - Sections 8, 11, 12, and 14 survive termination14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law provisions.14.2 Dispute Resolution
Any disputes shall be resolved through: 1. Good faith negotiation 2. Mediation (if negotiation fails) 3. Binding arbitration in British Columbia 4. Courts of British Columbia (if arbitration is unavailable)14.3 Severability
If any provision is found unenforceable, the remaining provisions continue in effect.14.4 Entire Agreement
These Terms, together with our Privacy Policy and Stripe's agreements, constitute the entire agreement between you and WOO Systems.14.5 No Waiver
Our failure to enforce any provision does not waive our right to enforce it later.14.6 Assignment
You may not assign these Terms. We may assign our rights and obligations to any successor.14.7 Changes to Terms
We may modify these Terms by: - Posting updated Terms in the App - Providing notice via email - Updating the "Last Updated" dateContinued use after changes constitutes acceptance. Material changes require your explicit consent.
14.8 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.15. Contact Information
